Establish a company in Thailand

I. Preliminary Preparation

Company Name

  • You need to provide three English names, which must be approved by the Department of Business Development in Thailand. The naming rules can follow one of the four methods:
  • Font Size + Industry + Co., Ltd.
  • Font Size + Co., Ltd.
  • Font Size + Industry + (Thailand) + Co., Ltd.
  • Font Size + (Thailand) + Co., Ltd.
  • Registered Address If using your own property, you need to provide the owner’s house registration book and ID card.
  • If renting someone else’s property, you need the rental contract, the property owner's house registration book, and ID card.
  • A road location map of the company’s address (if unavailable, I can assist in creating one for free)

  • Business activities to be conducted in the short ter
  •  Future business activities planned

Registered Capital and Capital Verification

(1) Thailand does not have a specific minimum requirement for registered capital; however, considering the work permit issues for foreign employees and the requirement for some industries that foreign-invested enterprises must have a registered capital of at least 3 million Thai Baht, we generally recommend that foreign enterprises set the registered capital at over 2 million. Thailand's policy stipulates that for every 2 million Baht of registered capital, one work permit can be issued for a Chinese employee, and there must be a condition of hiring 1 Thai employee for every 4 Thai employees hired. Of course, if the company obtains BOI investment promotion, this regulation can be exempted.

According to Thailand’s Foreign Business Act, a foreign-owned company requires at least 25% ownership from Thai nationals, with proof of deposit for the remaining capital, but no proof of deposit is needed from foreign shareholders.

For registered capital below 5 million Baht, a capital verification report is not required.

Provide Passports and Residential Addresses of Legal Representatives and Shareholders, along with Contact Information

Other Application Documents Such as business licenses, articles of association, company bylaws, minutes of the company formation meeting, audit information, and other documents.

III. Bank Account Opening

After the company is registered, you can go to the bank to open an account. The legal signatory must be present at the bank, and there is no need to deposit registered capital at the time of account opening.

Conditions for Opening an Account at Bangkok Bank:

  • Registration Certificate (DBD Certificate) issued within the last month
  • Copy of the legal representative's ID card/passport
  • BOJ 3 (shareholder's signature file for company registration), BOJ 4 (shareholding change information), and BOJ 5 (shareholder list) issued within the last month
  • Purchase of insurance costing around 6,000 Thai Baht
  • Additional fees may apply for online banking (specific amounts are subject to the bank's actual charges)
