Establish a company in Malaysia
Company registration services
Our firm acts as an agent to register a private limited company in Malaysia. Our service fees specifically include the following services.
1.Procedures before and after company registration.
Answer clients' questions regarding the registration and maintenance of companies in Malaysia.
- Provide advice on the structure of the client's company in Malaysia, such as the registered capital amount.
- Name search and reservation.
- Prepare company registration documents, service agreement, proxy director agreement, and other registration-related documents.
- Customize a company package that includes a company seal (rubber stamp), company steel seal (if applicable), stock certificate book, shareholder register, director register, and minutes book, among other documents.
- Initial board meeting minutes (or written resolutions of the board), shareholder register, and director register, etc.
- Written resolution of the board for opening a bank account (if required).
2.Registered address
In accordance with the requirements of the Malaysian Companies Act 2016 regarding registered addresses, we provide a Malaysian address as the registered address for the client's Malaysian company for a duration of one year. The registered address provided by us is solely to meet the requirements for company registration and may differ from the company's operational address.
During the provision of the registered address, we will notify the client via email regarding any government or business correspondence and courier received. If forwarding of such correspondence is required, an additional handling fee will be charged, along with the actual postage incurred.

Assuming that no license or permit application is required and does not include courier fees.
All of the above prices are exclusive of tax. If the client requires our office to issue a value-added tax (or sales tax) invoice, additional tax charges will be applied according to the local tax rate.

Note:
- Our office provides assistance for clients to open a company bank account in Malaysia for their Malaysian company. According to the latest requirements from the bank, all applicants for opening an account with a Malaysian bank must arrange for all authorized signatories and at least one director to be present in person to complete the account opening procedures. The bank account opening service provided by our office is limited to assistance only, and the bank has the right to decide whether to accept any company's account opening application. If the account opening is unsuccessful, our office shall not bear any responsibility and will not refund the account opening service fee.
- If needed, arrangements can be made for international notarization by a lawyer or certification and notarization by various consulates in Malaysia for the registration documents of the client's Malaysian company. For details, please contact a professional consultant for inquiries.
Payment Timing and Methods
Upon receiving the client's confirmation of the entrusted tasks, we will issue an invoice for the services requested and email the invoice along with the remittance bank details and payment instructions to the client for payment arrangements. Clients are requested to fill in our invoice number or file number in the remittance information section when making the payment, and to email us a copy of the remittance receipt after the transfer, so that we can more easily track the client's payment. Given the nature of the services, we require full payment of the service fee in advance. Furthermore, unless in special circumstances, once services have commenced, the service fee is generally non-refundable.
Basic Structure of the Company
Basic Requirements for Registering a Malaysian Private Limited Company:
- Composed of at least one shareholder, one director, one company secretary, and one registered office.
- The minimum issued and paid-up registered capital is 1 Malaysian Ringgit (MYR).
- Directors must be individuals, and they should not have any bankruptcy, criminal, or imprisonment records within the past five years.
- Shareholders can be either legal entities or individuals.
- The company's registered address must be located in Malaysia (a P.O. Box cannot be used as the company's registered address).
Clients are required to provide a list of materials.
To register a company in Malaysia, clients need to prepare and provide the following materials and documents:
- A photocopy of the identity proof and address proof (e.g., utility bills, bank statements, phone bills, etc.) for individuals appointed as directors.
- If the shareholders of the Malaysian company are another company, a clear organizational chart showing the relationship between the Malaysian company and its ultimate beneficial owners.
- A letter of introduction or a certificate of good standing issued by an accountant, lawyer, or bank, or original bank statements for the past three months from shareholders, or certified copies of those statements
- If the shareholder of the Malaysian company is another company, a group structure diagram clearly showing the relationship between the Malaysian company and its ultimate beneficial owner;
- A properly completed registration order form for the Malaysian company.
The aforementioned identity proof documents must be certified by a licensed or registered accountant, lawyer, or notary public. Clients can bring the original identity proof of shareholders and directors to any of our offices, and we will provide certification free of charge.

Company registration process and timeline.
In general, our firm can complete the registration procedures for your Malaysian company within 14 working days (assuming no licenses or permits are required). However, document delivery may take an additional 3 working days. For specific procedures and timelines, please refer to the table below.
Documents that clients will receive after registration.
After the registration procedures for the Malaysian company are completed, we will send the following documents to the client for record-keeping:
- Certificate of Incorporation;
- Four copies of the Company Articles of Association;
- Original issued share certificates;
- A rubber stamp engraved with the company name and the phrase "For and on behalf of the company" (if applicable);
- Statutory registers such as the register of shareholders, register of directors, and meeting minutes, along with any related documents or data;
