Procedure for establishing a Hengqin limited liability company
Preliminary preparation
- Determine the company name: You must comply with relevant naming rules, provide 2-3 company names, and self-declare the name.
- Clarify the business scope: Based on the company's actual business planning, accurately define the business scope. Some special industries may require prior approval.
- Clearly specify the registered capital and equity ratio.
Submit application materials
Application Materials List:
- The legal representative, director or supervisor is a natural person from Hong Kong. They shall provide scans of the front and back of the Hong Kong and Macau Resident Permit, a mobile phone number from mainland China, and a contact address. Foreign natural persons shall provide passport pages and visa pages confirmed by the Chinese Exit and Entry Administration, scans, and proof of residence in the mainland (property certificate or lease agreement).
- If the legal representative, directors, supervisors and other senior management personnel of the company are all natural persons from Hong Kong, a scanned copy of the ID card and contact number of a registered contact person in mainland China must be provided.
- If the shareholder is a Hong Kong or Macao enterprise, provide the original notarized copy of the business registration certificate and a copy of the front and back of the director's Hong Kong identity card
- Articles of Association (with signatures and seals)
- Shareholders' meeting resolution (complete with signature and seal)

- After receiving the approval notice from the Industry and Commerce Department, the applicant can choose to receive the original and duplicate business license by mail or in person at the Government Service Hall. When receiving the license, the applicant must present a valid ID and sign for confirmation.
- Seal engraving: company seal, financial seal, legal person seal, invoice seal, etc. You need to provide the original copy of the business license, the original and copy of the legal representative's ID card. After the seal engraving is completed, there will be a seal filing certificate.
